Coordnator — Real Estate Brokerage Management Platform

The following terms and conditions govern access to the Software. By accessing or using the Software, you accept, without limitation or alteration, all of the terms and conditions contained herein. This Agreement is a binding contract and includes terms that limit your legal rights and the liability of BrokerTech, LLC (“Licensor”) to you. If you do not understand any of the terms herein, consult your attorney before agreeing.
This Agreement is a legally binding contract between you (“Licensee”) and Licensor. Licensor grants Licensee a license to access the Software, subject to the terms and conditions set forth herein. In consideration of the mutual covenants contained herein, Licensee and Licensor hereby agree as follows:
Licensor grants to Licensee, and Licensee accepts, a non-exclusive, royalty-free, non-transferable, revocable, limited license to use the Software solely for Licensee’s internal business purposes. No right, title, or interest in or to the Software is transferred to Licensee.
Licensee shall not, directly or through any parent, subsidiary, affiliate, agent, or other third party (collectively, “Related Entities”), reproduce, distribute, modify, translate, copy, decompile, disassemble, reverse engineer, or create derivative works of, or transmit in any form or by any means, any part of the Software, except that Licensee may download one copy of the Software for Licensee’s and any authorized user’s sole use.
Neither Licensee nor any Related Entity shall sell, lease, license, sublicense, or market the Software or any part thereof. Licensee shall not gather, or attempt to gather, by any automated means—including “database scraping”—any content or other portion of the Software, except through AI assistants and integrations that Licensor makes available and that Licensee connects through the Software, nor employ the Software for any unlawful purpose.
Licensee’s license is automatically revoked upon violation of any term of this Agreement. Licensee may be held liable for copyright infringement.
Licensee acknowledges that the Software contains copyrighted works that are the exclusive property of Licensor. All right, title, and interest in and to the copyrighted and other intellectual property rights in the Software reside at all times in Licensor.
The trademarks, logos, and service marks (collectively, the “Marks”) appearing in the Software are registered and unregistered marks of Licensor. This Agreement does not grant Licensee any right to use any Marks displayed in the Software or any other marks of Licensor.
Licensor may have patents and/or pending patent applications covering subject matter in the Software. The furnishing of the Software does not grant Licensee any license to such patents.
United States copyright laws prohibit the distribution or copying of copyrighted works without proper authorization. Licensor will not tolerate any use of the Software that violates applicable copyright laws.
Licensee agrees that Licensor is not an insurer and shall have no liability arising out of the use or operation of the Software or any documents produced by the Software, including any pre-approval loan letter if Licensee is a lender, or any information therein.

Important: Licensee shall not input social security numbers or account numbers into the Software, including in any transactional notes. Licensor is not liable for any such inputs by Licensee.
Licensee agrees to indemnify, defend, and hold harmless Licensor and its officers, directors, governors, members, employees, and agents from and against any and all damages, claims, demands, actions, losses, costs, and expenses (including litigation costs, disbursements, and reasonable attorneys’ fees) arising out of or related to any third-party claim resulting from Licensee’s use and/or operation of the Software.
This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict-of-laws principles. The parties agree that any disputes arising under this Agreement shall be brought exclusively in the state courts of Minnesota, venued in Washington County. The parties hereby consent to personal jurisdiction therein and expressly waive any defenses based on lack of personal jurisdiction, improper venue, or forum non conveniens.
This Agreement shall not be assigned by Licensee without the prior express written consent of Licensor.
This Agreement, together with the Software Subscription Agreement, constitutes the entire understanding of the parties and supersedes all prior oral and written agreements on the subject matter hereof. Each provision of this Agreement is severable; if any provision is declared invalid or unenforceable, the remaining provisions shall continue in full force and effect.
The Software may contain third-party software, meaning copyrighted, patented, or otherwise legally protected software of third parties incorporated by Licensor. Third-party suppliers make no representations or warranties with respect to such third-party software or any portion thereof and assume no liability for any claim arising with respect to such third-party software or for Licensee’s use of or inability to use such software. Licensor is not liable for the use or accuracy of any third-party software or licenses.
By using the Coordnator platform (the “Software”), Licensee consents to receive SMS text messages from BrokerTech, LLC (“Licensor”) at the phone number provided during account registration. SMS messages are sent for the following purposes:
Message Frequency: Message frequency varies based on account activity and notification preferences. You may receive up to approximately 10 messages per week depending on your transaction volume and notification settings.
Standard Rates: Standard message and data rates may apply. BrokerTech, LLC is not liable for any charges incurred by Licensee’s wireless carrier in connection with SMS messages.
Opt-Out Instructions: Licensee may opt out of SMS notifications at any time by replying STOP to any SMS message received from Coordnator, or by adjusting notification preferences within the Software, or by contacting BrokerTech, LLC at support@coordnator.com. Opting out of SMS notifications does not affect Licensee’s obligation to receive MFA messages required for account security.
Help: For help or questions about SMS messaging, reply HELP to any SMS message received from Coordnator, or contact BrokerTech, LLC at support@coordnator.com.
Consent Not Required for Purchase: Consent to receive SMS messages is not a condition of purchasing any goods or services from BrokerTech, LLC. SMS messaging is provided as a feature of the Coordnator platform for account security and operational notifications.
Privacy: No mobile information, including SMS opt-in data and consent, will be shared with third parties or affiliates for marketing or promotional purposes. For full details on how we handle your data, please see our Privacy Policy.
AI Output: The Software includes features that use artificial intelligence, including Nator and the ability to connect third-party AI assistants (such as Claude or ChatGPT). AI-generated content, including answers, summaries, and drafts of offers, listing agreements, and transaction documents, may be inaccurate or incomplete and is not legal, tax, or financial advice. Licensee is solely responsible for reviewing all AI-generated content before relying on it, sending it, or presenting it for signature.
Actions Taken Through an Assistant: By connecting a third-party AI assistant, Licensee authorizes it to access the Software and act on Licensee’s behalf within the permissions Licensee and Licensee’s brokerage have granted. Actions taken through a connected assistant are Licensee’s actions. Licensee is responsible for confirming any action the Software asks Licensee to confirm.
Third-Party Assistant Providers: A connected AI assistant is provided by a third party under that party’s own terms and privacy policy. Licensor does not control, and is not responsible for, how a third-party AI provider handles information retrieved from the Software. Licensee is responsible for ensuring that sharing information with a third-party AI provider complies with Licensee’s brokerage policies, applicable MLS rules, and applicable law, including obligations to Licensee’s clients.
Access: Licensee’s brokerage may enable, limit, or disable AI features for its users. Licensor may suspend or revoke access by any AI assistant at any time.
